Partnership Firm Partner Name Change in Uttarakhand
For a partner in a firm whose own name has been corrected or changed: how it is noted with the Registrar of Firms, what happens to the deed, the firm's tax registration and its bank account, and why a partner joining or leaving is a different matter.
A partnership firm partner name change is noted, for a registered firm, by an intimation to the Registrar of Firms. The Partnership Act provides for it where a partner alters his name. The partner updates Aadhaar and PAN first, and the firm then updates its deed, its tax registration and its bank mandate.

A firm is its partners, and its papers list them by name. A partnership firm partner name change is the lightest of the three things that can happen to those names, and the one most often confused with the other two. This page explains partnership firm partner name change for partners in Uttarakhand.
We do not draft deeds or file with the Registrar. That is a lawyer's or an accountant's work. We prepare the Gazette notification, where a partner has changed a name by choice and PAN needs it. The section of the Act is from its published text. For a proprietor's registrations, read name change in Udyam and GST registration.
What Is a Firm, and Where Do the Names Sit?
- A partnership is two or more people carrying on a business together and sharing its profits. In law the firm is its partners, not a separate person.
- The firm name is the name they trade under.
- The deed is their agreement. It names each partner, with father's name and address, and sets out shares and duties.
- Registration with the Registrar of Firms is optional under the Act, but an unregistered firm is under real handicaps in court. A registered firm's entry lists the partners' names in full and their permanent addresses.
- The firm has its own PAN, its own tax registration and its own bank account, each of which records the partners.
So a partner's name sits in at least five places: the deed, the Register of Firms, the firm's PAN record, the tax registration and the bank mandate. All are read against the partner's own PAN and Aadhaar.
What Does the Act Say?
From the published text of the Indian Partnership Act, 1932. A state may have amended these sections for itself, so confirm the position in this state with the Registrar's office.
| Section | What it covers | What is sent to the Registrar |
|---|---|---|
| Section 60 | A change in the firm name or the principal place of business | A statement of the alteration |
| Section 62 | A partner in a registered firm alters his name or permanent address | An intimation of the alteration, which may be sent by any partner or an agent of the firm, and which the Registrar notes |
| Section 63 | A change in the constitution of the firm, or its dissolution | A notice of the change, giving its date |
- The forms for these are prescribed by each state's rules.
- The central text says an intimation under section 62 "may be sent". Some states have amended it to require sending within a set number of days. We did not confirm this state's position.
- The fee is a small one set by the state's rules.
The Act treats a partner's change of name as a matter of noting. Nothing about the firm itself changes. That is the point to hold on to when an office or a bank suggests otherwise.
Which of Three Changes Is It?
| Change | Example | Is the firm the same? | Paper behind it |
|---|---|---|---|
| A partner's own name | A partner marries and takes a new surname | Yes. The same partners | Marriage certificate or Gazette notification |
| The firm name | Negi Brothers becomes Negi Traders | Yes. The same partners | The partners' written decision |
| The partners themselves | A son joins, a partner retires or dies | Reconstituted, or dissolved | A fresh or supplementary deed |
A Gazette can have a part only in the first, and there only for the partner's own PAN and Aadhaar. A firm name is never changed by a personal Gazette notice, and neither is the list of partners.
Which Case Is Yours?
| The situation | Route | Gazette? |
|---|---|---|
| The deed misspells a partner, and the partner's PAN is right | A supplementary deed, and an intimation to the Registrar | No |
| A woman partner has taken a married surname | Her PAN on the marriage certificate, then the firm's records | No |
| A partner has changed a name by choice | Gazette, then PAN, then the firm's records | Yes, for PAN and Aadhaar |
| The firm wants a new trading name | A statement to the Registrar, and the firm's PAN and tax registration | No |
| A partner is joining or retiring | A deed of reconstitution, and a notice to the Registrar | No |
| A partner has died | As the deed provides: the firm continues, is reconstituted or is dissolved | No |
| The firm was never registered | The deed and the tax and bank records only | As above |
Row three is the one for our service. Everything else is the firm's lawyer's or accountant's work.
What Is the Order of Work?
For a partner whose own name is being corrected or has changed.
Step 1: Get the paper that records the change
The marriage certificate, or the Gazette notification.
Step 2: Update the partner's Aadhaar, then PAN
Every record of the firm is read against them.
Step 3: Tell the other partners in writing
With a copy of the paper. They have to sign what follows.
Step 4: Have a supplementary deed drawn up
Recording that the partner formerly known by one name is now known by another, and that nothing else in the partnership has changed.
Step 5: Send the intimation to the Registrar of Firms
For a registered firm, in the state's prescribed form, with the proof.
Step 6: Update the firm's tax registration
The partner's particulars on it, through the accountant.
Step 7: Update the bank mandate
With the partners' letter and the partner's updated identity papers.
Step 8: Update the firm's licences and letterhead
Wherever the partners are named.
What Happens at the Registrar of Firms?
- The Registrar keeps a Register of Firms for the state, with an entry for each registered firm and the statements filed for it.
- On an intimation that a partner has altered a name, the Registrar notes it against the firm's entry and files the intimation with the firm's papers.
- The intimation can be sent by any partner or by an agent of the firm. It is in the form the state's rules prescribe.
- A certified copy of the firm's entry is what a bank or a court asks for as proof of who the partners are. After the noting, it shows the present name.
- We could not confirm which office acts as Registrar of Firms for this state today, its form or its fee. Ask the firm's lawyer.
The registration number and date do not change. The firm is the same firm, with one partner's name noted afresh.
What Happens to the Partnership Deed?
- The original deed is not altered by hand. It stays as signed.
- A short supplementary deed is signed by all the partners. It recites the change of name, identifies the paper that records it, and confirms that the shares and terms are untouched.
- It is put on stamp paper of the value the state's law requires. Ask the lawyer.
- The supplementary deed is kept with the original, and copies go to the Registrar, the bank and the tax registration.
- Documents the partner signed for the firm in the earlier name remain good. The linking paper explains them.
Where the deed misspelt the partner from the start, the supplementary deed says so, and gives the correct name as on PAN.
What About the Firm's PAN, Tax Registration and Bank?
| Record | Whose name it carries | What changes |
|---|---|---|
| The firm's PAN | The firm's name | Nothing, for a partner's change of name. It changes only if the firm name does |
| The goods and services tax registration | The firm's legal name, with the partners listed | The partner's particulars, by an amendment |
| The firm's bank account | The firm's name, with the partners as signatories | The signatory's record, on the partner's updated identity papers |
| The firm's income tax return | The firm's, listing partners and their PANs | The partner's name as PAN now shows it |
| The enterprise registration | The firm, through a partner's Aadhaar | The partner's particulars |
The partner's own PAN number does not change, so the firm's filings stay linked to the same person throughout. Read name change in PAN card and name change in bank records.
What About a Partner Joining, Leaving or Dying?
- A new partner joining, such as a son or a daughter, changes the constitution of the firm. A deed of reconstitution is signed, and a notice goes to the Registrar.
- A partner retiring is the same kind of change, with a public notice of the retirement where the Act asks for one.
- A partner's death dissolves the firm unless the deed says it continues. Read the deed's clause on death before anything else.
- Heirs do not become partners by inheritance. They come in only if the deed provides for it or the surviving partners agree.
- The firm's tax registration and bank each have their own procedure for a change of partners, heavier than for a change of a name.
A family firm that goes on trading for years with a dead partner still on the deed and the bank mandate has a problem no name correction will cure. See the firm's lawyer. Read name correction in a death certificate and legal heir certificate.
What If the Firm Was Never Registered?
- Many small firms run on a deed alone. They have no entry with the Registrar to update.
- The partner's change of name is then recorded by the supplementary deed, and carried to the firm's tax registration and bank.
- The Act puts an unregistered firm, and its partners, under limits in suing to enforce contracts. A change among the partners is a sensible moment to consider registering.
- When the firm does register, the partners' names are entered as they then stand, in full.
How Does the Central Gazette Route Come In?
Only for the partner as a person. Where a partner has changed a name by choice, PAN and Aadhaar ask for a Gazette, and the firm's records follow them.
Step 1: Confirm that it is your own name that is changing
A firm name, or a change of partners, needs no Gazette.
Step 2: Fix the exact new name
The spelling that will go on PAN, the deed and the bank mandate.
Step 3: Make the affidavit
State the old name, the new name, your father's or husband's name and your address. Sign before a notary.
Step 4: Publish the newspaper notice
In a daily local leading newspaper. Keep the original newspaper.
Step 5: Type the form and sign the undertaking
Two typed copies of the specimen, signed in your old name with two witnesses, and the undertaking.
Step 6: Prepare the CD, photographs and certificate
The same text on a CD in MS Word, two self-attested photographs with identity proof, and a certificate that both copies match.
Step 7: Pay the charge on BharatKosh
Commonly Rs 1,100 for an adult. It is not refunded.
Step 8: Send the file yourself, then update in order
Send it to the Controller of Publications, Department of Publication, Civil Lines, Delhi 110054. With the published Gazette, update Aadhaar and PAN, then sign the supplementary deed and send the intimation.
Would the Uttarakhand Gazette Do for a Partner?
The Registrar of Firms is a state office and may accept it. PAN, the tax registration and the bank are the reasons to prefer the Gazette of India.
Step 1: Read what the PAN correction form lists as proof
PAN comes first.
Step 2: Think about the tax registration and the bank
The Gazette of India serves them all.
Step 3: Contact the Roorkee press
Take the contact from govtpress.uk.gov.in and ask if a private change of name notice is being accepted.
Step 4: Ask for the papers, the format and the fee, and submit
Keep photocopies of everything.
Step 5: Download the notice
Search gazettes.uk.gov.in and save the PDF.

Which Mistakes Do Partners Make?
| Mistake | What to do |
|---|---|
| Treating a partner's change of name as a change of partners | It is a noting. The firm is the same |
| Writing the new name over the old on the deed | Sign a supplementary deed |
| Updating the firm before the partner's PAN | PAN first |
| Getting a Gazette to change the firm name | A firm name is changed by the partners and a statement to the Registrar |
| Telling the bank and forgetting the Registrar | Send the intimation for a registered firm |
| Leaving a dead partner on the deed and the mandate | Follow the deed's clause on death, with a lawyer |
| Assuming a son steps into a late father's share | Heirs become partners only by the deed or by agreement |
| Signing for the firm in a name the bank does not yet hold | Update the mandate first |
| Never registering the firm | Consider it at the next change |
A typical case we handle: one of two partners in a Rudrapur trading firm changed his first name by choice. The firm's bank, seeing a new name on his Aadhaar, told the partners they would need a "new firm". They did not. He took out a Gazette of India notice, which we prepared, and updated his PAN. The partners signed a supplementary deed, sent the intimation to the Registrar and gave the bank the set. The firm kept its registration, its PAN and its account. This is an illustrative example of the type of case we handle, not a named client review.
What is a lawyer's or an accountant's job, not ours
The supplementary deed, the filing with the Registrar, the tax registration, and any reconstitution or dissolution.

Section 62, on a partner who alters his name, is from the published text of the Indian Partnership Act, 1932. We did not confirm any amendment of it for this state, the office that acts as Registrar of Firms here, its forms or its fee. The supplementary deed, the firm's money records and the notes on partners joining, leaving or dying are general guidance. A firm's lawyer or accountant should handle its deed and filings.

A Partner's Name Change: The Short Version
A partner's change of name does not change the firm. The partner updates Aadhaar and PAN. The partners sign a supplementary deed, and for a registered firm an intimation goes to the Registrar of Firms, as the Partnership Act provides. The firm's tax registration and bank mandate follow. A firm name, and a change of partners, are different matters with their own papers.
